Challenge
A rapidly grown corporate group with operations across 8 countries had an inefficient shareholding structure that evolved organically. The complex web of cross-holdings created significant tax inefficiencies, operational redundancies, transfer pricing exposures, and challenges in repatriating profits. The structure also hindered potential exit opportunities for private equity investors.
Solique’s approach
Solique conducted a comprehensive group structure review, mapping all legal entities, ownership chains, and inter-company transactions. We designed an optimized holding structure using intermediate holding companies in tax-efficient jurisdictions, created a step-by-step reorganization plan minimizing tax leakage, coordinated with advisors across multiple jurisdictions for seamless execution, and implemented treaty-compliant structures for dividend repatriation and IP licensing.
Outcome
Reorganized the group structure over 18 months, consolidating 23 entities into a streamlined 14-entity structure. Achieved annual tax savings of approximately $8M through optimized holding structures and treaty benefits. Reduced compliance burden by 40% while improving visibility and control. The restructured group successfully attracted and closed a $200M growth equity round at a premium valuation.
